Do I Need a Local Sponsor to Start a Business in Dubai?
The old “you need a UAE partner to own 51%” rule is no longer the standard answer for most businesses. Here is what investors need to understand today.
For most business activities, foreign investors can own 100% of their UAE company. A UAE national shareholder is therefore not automatically required simply because you are setting up a Mainland business in Dubai. Certain activities and structures can still be subject to specific rules.
Why Do People Still Talk About the 51% Local Partner Rule?
Because that was the rule many entrepreneurs knew for years.
Historically, many Mainland limited liability companies were structured with a UAE national holding 51% and a foreign investor holding 49%.
UAE company ownership rules have since changed significantly, allowing foreign investors to fully own companies across a broad range of business activities.
Unfortunately, older articles, videos and business setup advice are still online — which is why many new investors continue to believe the old structure applies to every company.
Can a Foreigner Own 100% of a Mainland Company?
Yes, in many cases.
Foreign investors can now establish fully foreign-owned Mainland companies for a wide range of approved activities.
This means an entrepreneur from India, Europe, the UK, the United States, Africa, Asia or elsewhere may be able to own the entire company without giving shares to a UAE national solely to satisfy an ownership rule.
Are There Any Exceptions?
Yes.
Certain activities considered to have strategic impact can be subject to additional ownership, approval or regulatory requirements.
Other specialised sectors may also be governed by their own regulators or licensing conditions.
That is why the correct question is not:
“Can foreigners own companies in Dubai?”
The better question is:
“Can foreigners own 100% of a company carrying out this specific activity?”
What About Free Zone Companies?
Free Zones have long been popular with foreign entrepreneurs because they generally allow 100% foreign ownership.
Today, however, foreign ownership alone is no longer the main reason to choose a Free Zone over Mainland.
The decision should instead consider:
- Where your customers are located
- Your business activity
- Office requirements
- Number of visas needed
- Local UAE operations
- International business needs
- Banking requirements
- Future expansion
Local Sponsor, Local Partner and Local Service Agent — Are They the Same?
These terms are often used loosely, which creates unnecessary confusion.
Local Shareholder / Partner
This means a UAE national actually holds shares or ownership in the company. For most ordinary foreign-owned business activities today, this is not automatically required.
National Agent
A national agent historically had a different role from a shareholder. UAE company law has also removed the general requirement for UAE national agents for foreign-company branches.
The important point is that these are different legal concepts. Do not assume that the word “sponsor” always means someone must own part of your company.
What About a Branch of a Foreign Company?
If an existing foreign company wants to establish a UAE branch, the ownership situation is different from creating a new LLC.
A branch is generally an extension of its foreign parent company rather than a separately owned company with local shareholders.
Under the current UAE Commercial Companies framework, foreign-company branches are not generally required to appoint a UAE national agent.
Does 100% Ownership Mean I Can Choose Any Activity?
No.
Ownership and licensing are separate issues.
Your company must still obtain the correct business activity and any approvals required for that activity.
Depending on the business, approvals may involve authorities responsible for areas such as:
- Healthcare
- Education
- Financial services
- Transport
- Food businesses
- Tourism
- Engineering
- Other regulated sectors
Does 100% Ownership Mean I Need No UAE-Based Support?
No — and this is another important distinction.
You may own 100% of the company while still needing UAE-based arrangements for its actual operation.
Depending on the business, this can include:
- Registered business premises
- Government registrations
- Immigration establishment file
- Employee visas
- External approvals
- Corporate banking
- Accounting and compliance
- Authorised managers or representatives
100% ownership gives you ownership control. It does not remove normal business and regulatory requirements.
Should I Choose Mainland Just Because I Can Own 100%?
Not necessarily.
Mainland may be the right choice for one entrepreneur, while a Free Zone may still be more suitable for another.
| Question | Mainland | Free Zone |
|---|---|---|
| 100% foreign ownership? | Available for many activities. | Generally available. |
| Good for wider UAE operations? | Often very suitable. | Depends on activity and operating model. |
| Flexible workspace packages? | Depends on activity and licence requirements. | Common in many Free Zones. |
| Suitable for international business? | Yes. | Yes. |
| Best choice? | Depends on your business model — not ownership percentage alone. | |
Why the Right Ownership Structure Still Matters
Even when 100% foreign ownership is available, you should still think carefully about how the company is structured.
For example, a company may have:
- One individual shareholder
- Several individual shareholders
- A corporate shareholder
- A holding company
- Different managers
- Specific signing authorities
These choices can affect company control, banking, succession, investment and future share transfers.
Common Questions
Do I need an Emirati partner for a Dubai Mainland company?
For many business activities, no. Foreign investors can establish 100% foreign-owned Mainland companies, subject to the rules applying to the chosen activity.
Can I own all the shares myself?
In many cases, yes. A foreign investor may be able to establish a single-shareholder or fully foreign-owned company depending on the legal structure and licensing requirements.
Do Free Zone companies need a local sponsor?
Free Zone companies generally allow 100% foreign ownership and normally do not require a UAE national shareholder simply for ownership purposes.
Does a foreign-company branch need a UAE national agent?
Under the current UAE Commercial Companies framework, foreign-company branches are generally not required to appoint a UAE national agent.
Are there activities where special ownership rules can still apply?
Yes. Certain strategic-impact or specially regulated activities can be subject to additional conditions, approvals or ownership rules.
Don't Build Your UAE Company Around an Outdated Rule.
The UAE business environment has changed considerably. The old assumption that every foreign entrepreneur needs an Emirati holding 51% of a Mainland company is no longer the right starting point.
Start instead with your business activity, operating market, ownership goals, visas, banking requirements and growth plan. Then choose the company structure that fits those objectives.
